About the Role
We are looking for a versatile corporate lawyer with a deep securities law background to join Figure's Legal team. Figure is a leading, Nasdaq-listed financial technology company using blockchain to transform financial services, and our Legal team sits at the center of the company's most consequential work: public company governance, capital markets activity, M&A, and novel securities initiatives spanning our lending, marketplace, and digital asset businesses. You will be equally comfortable running day-to-day corporate matters, leading M&A transactions, and advising at the frontier of securities law, including broker-dealer regulation. This role reports to the Chief Legal Officer and will work directly with Figure's CEO and senior executive team on high-priority securities initiatives.
What You’ll Do
- Advise on the full range of general corporate matters, including entity governance, subsidiary management, corporate approvals, board and committee resolutions, and commercial transactions
- Support public company governance and reporting, including Exchange Act filings (10-K, 10-Q, 8-K), proxy statements, Section 16 compliance, insider trading policy administration (including 10b5-1 plans), and board and audit committee support
- Provide securities law advice on capital markets transactions, including registered offerings, shelf registrations, private placements, and equity plan matters
- Lead the company's M&A activity end to end, including deal structuring, due diligence, negotiation of definitive agreements, regulatory approvals, closing, and post-closing integration
